1. Introduction

Welcome to Lambda (“Lambda,” “we,” “our,” or “us”). These Terms and Conditions of Service (“Terms”) govern your access to and use of all services, websites, products, applications, and private experiences offered by Lambda, including purchases, subscriptions, bespoke fragrance consultations, and luxury gifting.

By accessing any Lambda service or purchasing from us, you agree to these Terms and our Privacy Policy. If you do not agree, please refrain from using our services.

3. Eligibility

To use our services, you must:

Be at least 18 years of age
Be legally capable of entering into binding contracts under U.S. and international law
Not use our services for any illegal or unauthorized purpose

Lambda reserves the right to refuse service, terminate accounts, or cancel orders at our sole discretion.

4. Scope of Services

Lambda offers a curated range of ultra-premium perfumery services, including:

Ready-to-wear fragrance collections
Exclusive and limited-edition releases
Bespoke fragrance design
Private and by-appointment-only events
Gifting concierge and personal scent profiling
Siriz Collection (invite-only, highly exclusive fragrance program)

Services may be offered through our website, mobile interfaces, retail locations, VIP client liaisons, or private showings.

5. Orders and Contracts

5.1 Order Placement

Orders may be placed through:

Our website or mobile portal
Lambda's concierge or personal liaison
In-person consultation (where offered)

For the Siriz Collection, orders are subject to additional criteria outlined in Section 6.

5.2 Acceptance

Orders are not binding until:

Full payment is received, and
You receive a written order confirmation from us

We reserve the right to refuse or cancel any order for reasons including suspected fraud, product limits, or exclusivity restrictions.

6. Siriz Collection: Access, Application & Restrictions

The Siriz Collection is Lambda's most exclusive and tightly curated fragrance collection. Participation in the Siriz program and purchase of any Siriz fragrance is by exclusive invitation only, or through a discretionary voluntary application process subject to Lambda's internal review and vetting.

6.1 Application and Invitation Process

Clients must receive a private invitation or request access via our Siriz Reservation Form.
Completion of this form does not guarantee acceptance.
A non-refundable application fee is required to submit a reservation request.
Lambda retains the sole discretion to approve or deny access to the Siriz Collection without obligation to disclose reasoning.

6.2 Limited Quantities & Exclusivity

Each Siriz fragrance is produced in extremely limited quantity (e.g., only 200 bottles per scent).
At the time of writing, the collection includes only two active fragrances, each formulated with rare and ethically sourced ingredients.

6.3 Payment & Ownership

Accepted applicants will be contacted with payment instructions.
Full payment must be completed within the time window stated in the invitation.
Ownership is non-transferrable. Clients may not resell or redistribute their Siriz fragrance.

6.4 No Returns, Refunds, or Exchanges

Due to the exclusive, customized, and limited nature of the Siriz Collection:

All Siriz Collection sales are final.
No returns, refunds, or exchanges will be accepted under any circumstances.
The non-refundable application fee will not be credited toward future purchases if the application is denied or withdrawn.

6.5 Legal Standing

Clients acknowledge that participation in the Siriz program constitutes a legal contract under these Terms. By applying or accepting an invitation, you:

Affirm your understanding of the strict terms governing Siriz products
Waive any right to dispute, claim refunds, or initiate chargebacks related to the application fee or the purchase of Siriz fragrances

Any attempt to circumvent these restrictions may result in permanent disqualification from all Lambda services and potential legal action.

7. Pricing & Payment Terms

7.1 Currency

All prices are displayed in U.S. Dollars (USD) unless otherwise noted. Prices exclude applicable sales tax, international duties, and shipping charges.

7.2 Payment Methods

We accept:

Major credit/debit cards (Visa, AMEX, Mastercard)
Apple Pay, Google Pay
Wire transfers for high-value or bespoke orders
Cryptocurrency (by request only and at our discretion)

All payments are processed through PCI-DSS-compliant gateways. Lambda does not store payment card details.

8. Shipping & Delivery

8.1 Domestic and International Delivery

Lambda ships worldwide. Some regional restrictions apply due to fragrance transportation regulations.

8.2 Lead Times

Signature orders: 3–10 U.S. business days
Siriz creations: A minimum of 65 business days (or more as agreed)
Express services may be offered to select clients

8.3 Delivery Risk

All shipments are insured. Risk of loss passes to you upon delivery confirmation. Lambda is not responsible for shipping delays outside our control.

9. Returns & Cancellations

9.1 General Policy

Due to the artisanal and personalized nature of our fragrances:

All sales are final
No returns or exchanges once the product seal is broken

9.2 Exceptions

If you receive a defective, damaged, or incorrect item, notify us within 7 days for a replacement or refund
Bespoke and Engraved items are non-refundable unless deemed defective by Lambda

Note: These exceptions do not apply to the Siriz Collection (see Section 6).

10. Client Accounts

Creating a Lambda account allows access to:

Order tracking
Exclusive previews
Fragrance history and customization preferences

You are responsible for:

Maintaining confidentiality of your account credentials
Ensuring your information is accurate and updated

We reserve the right to suspend or delete accounts for misuse or breach of these Terms.

11. Intellectual Property

All trademarks, trade dress, bottle designs, formulas, brand concepts, copy, photographs, and proprietary materials are the exclusive property of Lambda and/or our licensors. You may not use, reproduce, or distribute them without our prior written consent.

12. Privacy & Data Protection

We collect and process personal data in accordance with our Privacy Policy, and comply with:

The California Consumer Privacy Act (CCPA)
The General Data Protection Regulation (GDPR) for international clients
Other applicable data protection laws

By using our services, you consent to such processing.

13. Client Conduct and Restrictions

You agree not to:

Use Lambda services for unlawful, exploitative, or fraudulent activities
Resell products without our express written permission
Circumvent access controls or service restrictions
Attempt to reverse-engineer any Lambda formulas or techniques

Violations may result in legal action and permanent restriction of access.

14. Disclaimer of Warranties

To the fullest extent allowed by applicable law:

All products and services are provided "as is" and "as available"
Lambda disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement
Lambda makes no warranty that its services will be uninterrupted, secure, or error-free

15. Limitation of Liability

To the maximum extent permitted by law:

Lambda shall not be liable for indirect, incidental, special, or consequential damages, including loss of income, data, or reputation
Lambda’s total liability for any claim shall not exceed the amount paid by you for the product or service in question

Some jurisdictions do not allow certain exclusions—your rights may vary.

16. Indemnification

You agree to indemnify and hold harmless Lambda and its affiliates from any claims, damages, losses, and liabilities, including legal fees, arising out of your use of our services or your violation of these Terms.

17. International Users

Lambda operates globally. If you are accessing our services from outside the U.S., you are responsible for compliance with your local laws. You consent to the transfer of your personal data to the United States and agree to the application of U.S. law (see below).

18. Governing Law & Dispute Resolution

These Terms and any related disputes shall be governed by the laws of the State of New York, United States, without regard to its conflict of law rules.

18.1 Arbitration

All disputes not resolved informally will be resolved through binding arbitration under the rules of the American Arbitration Association (AAA) in New York County, NY, unless otherwise agreed.

18.2 Waiver of Class Actions

You agree to resolve disputes individually and waive the right to participate in any class or representative action.

19. Force Majeure

Lambda shall not be liable for any failure or delay due to causes beyond our reasonable control, including acts of nature, war, embargoes, pandemics, government actions, or supply chain failures.

20. Changes to These Terms

Lambda reserves the right to modify these Terms at any time. Updates will be posted on our website and take effect upon publication. Your continued use of our services constitutes acceptance of those changes.
